Magister AI

Consumer Terms

Effective date: August 23, 2026
Last updated: August 23, 2026

These Consumer Terms (the “Terms”) govern your access to and use of Magister AI, including its websites, applications, downloadable software, artificial-intelligence features, agents, integrations, support tools, and related services (collectively, the “Service”).

These Terms form a legally binding agreement between you and Magister AI LLC, a Delaware limited liability company (“Magister AI,” “we,” “us,” or “our”). By creating an account, clicking to accept these Terms, purchasing a subscription, or accessing or using the Service, you agree to these Terms.

Please read these Terms carefully. In particular:

  • paid subscriptions may renew automatically until cancelled;
  • artificial-intelligence outputs and actions may be inaccurate, incomplete, or harmful if used without appropriate review;
  • the Terms contain important disclaimers and limitations of liability; and
  • Section 19 explains the law and process that apply to disputes.

If you do not agree to these Terms, please do not use the Service.

1. Scope and related terms

1.1 What these Terms cover

These Terms apply to use of the Service by individuals for personal purposes and, unless separate business terms apply, for internal business purposes.

If you access or use the Service for an employer, company, or other organization, you confirm that you have authority to bind that organization. In that case, “you” includes both you and the organization.

1.2 Additional documents

Your use of the Service is also subject to the following documents, as applicable:

  • any product-specific rules, order details, plan descriptions, usage limits, or supplemental terms shown to you before you use the relevant feature; and
  • any terms that apply to a beta, integration, marketplace item, prepaid credit, promotion, or other optional feature.

Our Privacy Notice explains how we collect, use, disclose, retain, and protect personal data and Content. It is an important document to read, but does not form part of these Terms unless applicable law says otherwise.

If documents conflict, the following order applies: (1) a signed enterprise or business agreement; (2) product-specific or supplemental terms; and (3) these Terms, unless a higher-ranking document expressly states otherwise.

1.3 Business services

A master services agreement, business terms, order form, data processing agreement, or other written agreement may apply to business, enterprise, or education use. If one of those agreements applies, it controls to the extent of any conflict with these Terms.

1.4 Mandatory consumer rights

Nothing in these Terms excludes, restricts, or changes any right or remedy that cannot lawfully be excluded, restricted, or changed. If the law where you live gives you additional consumer rights, those rights continue to apply.

2. Eligibility

2.1 Service availability

The Service is currently offered to consumers in the United States and Canada, excluding Québec. If you reside in Québec, you may not create a consumer account, purchase a subscription or usage credits, or use the consumer Service at this time. We may add or remove service areas as permitted by law.

2.2 Capacity to contract

You may use the Service only if you are legally capable of entering into a binding contract with us under the law that applies to you. If you do not have that capacity, you may not create an account or use the Service.

2.3 Legal permission to use the Service

You may use the Service only if:

  • you are legally permitted to do so where you live and from the location where you access it;
  • you are not subject to sanctions or trade restrictions that prohibit your use of the Service;
  • you have not previously been permanently suspended or removed from the Service, unless we have approved your return in writing; and
  • your registration and use comply with applicable law.

2.4 Organizational authority

If you use the Service for an organization, you represent that you are authorized to accept these Terms on its behalf. You must not falsely claim to represent another person or organization.

3. Accounts, security, and organization-managed access

3.1 Registration information

You must provide accurate, complete, and current account and billing information. You must update that information when it changes. You may not impersonate another person, create an account using information you are not authorized to use, or create accounts to evade a restriction or suspension.

3.2 Account security

You are responsible for activity under your account, except to the extent caused by our breach of these Terms or a legal duty. You agree to:

  • keep your password, authentication codes, recovery methods, and other credentials confidential;
  • use reasonable security measures, including multi-factor authentication where available;
  • not sell, transfer, lend, or share your account unless the Service expressly permits managed or shared access;
  • promptly notify [email protected] if you suspect unauthorized access, credential loss, or another security incident; and
  • cooperate reasonably with steps needed to secure your account.

We may require you to reset credentials, verify your identity, or take other reasonable security measures. We will never ask you to disclose your password in an unsolicited message.

3.3 Organization-managed accounts and domains

If we make organization-managed accounts available and you register with an email address owned or controlled by an employer, school, or other organization, your account may be added or transferred to that organization’s managed account. Subject to applicable law and any notice requirements, its administrator may be able to:

  • access, export, retain, or delete Content associated with the managed account;
  • configure features and data controls;
  • monitor use and enforce organizational policies;
  • restrict or remove your access; and
  • control the organization’s domain and account settings.

We will provide notice before a transfer where reasonably practicable, unless the organization has already told you that it manages the account or applicable law permits otherwise. Please use a personal email address for personal Content that you do not want an organization to manage.

3.4 Electronic communications

You agree that we may send transactional, security, billing, service, and legal notices to the email address or other contact method associated with your account. Electronic notices satisfy any legal requirement that a notice be in writing, to the extent permitted by law.

You may opt out of marketing communications using the unsubscribe method provided, but you cannot opt out of essential account, security, billing, or legal messages while you maintain an account.

4. Access to and license for the Service

4.1 Limited right to use the Service

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for lawful personal or internal business purposes during the term of these Terms.

This is a right to use the Service, not a sale or transfer of the Service or our intellectual property. We reserve all rights not expressly granted.

4.2 Downloadable software and updates

If the Service includes downloadable software, we grant you a limited license to install and use it on devices you own or control, subject to any applicable app-store or device-platform terms. The software may download and install updates automatically where your device settings permit. Updates may add, change, or remove features.

Parts of the software may be governed by open-source or third-party licenses. Those licenses control for the relevant components to the extent they conflict with these Terms.

4.3 Usage limits and technical protections

Plans and features may be subject to message, storage, compute, model, rate, geographic, device, or other reasonable limits. We may enforce those limits and use technical measures to protect the Service, users, and third parties. You may not circumvent those limits or measures.

4.4 Evaluation and beta features

We may offer trials, previews, beta, pilot, early-access, experimental, or evaluation features (“Beta Features”). Unless we state otherwise, Beta Features:

  • are provided for testing and evaluation;
  • may be incomplete, unsupported, less secure, or more likely to contain errors;
  • may change or be withdrawn at any time;
  • may not be suitable for production, safety-critical, or high-impact use; and
  • may be subject to additional terms or confidentiality requirements.

Please keep independent backups and use appropriate safeguards when testing Beta Features.

5. Acceptable use and restrictions

You must use the Service responsibly and comply with these Terms and applicable law.

You may not use, or help another person use, the Service to:

  1. 1. engage in illegal, harmful, fraudulent, deceptive, abusive, or rights-infringing activity;
  2. 2. violate another person’s intellectual-property, privacy, publicity, confidentiality, contractual, or other legal rights;
  3. 3. create, upload, distribute, or facilitate malware, destructive code, spam, denial-of-service activity, phishing, credential theft, unauthorized surveillance, or unauthorized access to systems or data;
  4. 4. threaten, harass, exploit, or endanger a person, or create unlawful discriminatory outcomes;
  5. 5. bypass safety controls, access restrictions, rate limits, usage limits, or authentication measures;
  6. 6. probe, scan, test, or attempt to penetrate the Service or a connected system without our prior written permission;
  7. 7. reverse engineer, decompile, disassemble, decode, discover, or derive source code, model weights, algorithms, system prompts, non-public data, or underlying components of the Service, except to the extent applicable law does not allow this restriction;
  8. 8. scrape, harvest, systematically extract, or automatically access the Service or Output except through an interface, export feature, or integration we expressly provide for that purpose;
  9. 9. copy, modify, lease, rent, sell, sublicense, distribute, or commercially resell the Service, or make it available as a standalone substitute, unless a separate written agreement permits this;
  10. 10. use access to the Service or systematically collected Output to build, train, fine-tune, evaluate, or improve a model or service that competes with the Service, unless we authorize that use in writing;
  11. 11. publish misleading benchmarks or safety-test results, including results that omit material methodology or information reasonably needed to reproduce them;
  12. 12. conceal the artificial origin of Output where disclosure is required by law or necessary to avoid deceiving another person;
  13. 13. use the Service to make a prohibited automated or high-impact decision about another person, as described in Section 7.4;
  14. 14. use the Service for securities trading or other regulated professional activity in a way prohibited by these Terms or applicable law;
  15. 15. remove ownership, attribution, safety, or legal notices from the Service; or
  16. 16. allow or encourage anyone else to do any of the above.

You must not submit highly sensitive or specially regulated data unless the Service expressly states that it supports that data and any required agreement or safeguard is in place. Depending on context, this may include authentication secrets, full payment-card data, protected health information, government identification numbers, biometric templates, precise financial-account data, export-controlled or classified information, or personal data about children.

We may investigate suspected violations and may restrict Content, features, or accounts as described in Section 14.

6. Inputs, Outputs, Actions, and Content

6.1 Definitions

You may provide text, prompts, instructions, files, images, audio, code, data, links, tool permissions, or other material to the Service (“Input”). The Service may return text, images, audio, code, data, recommendations, or other generated material (“Output”).

Some features may browse, retrieve information, execute code, change files, interact with external systems, or take other steps at your direction (“Actions”). Inputs and Outputs together are “Content.”

6.2 Your Input

As between you and us, you retain any ownership rights you have in Input. You are responsible for your Input and represent that:

  • you have the rights, permissions, consents, and lawful basis needed for us and our service providers to process it;
  • providing and processing it as contemplated by the Service will not violate law, these Terms, or another person’s rights; and
  • your instructions authorizing an Action are lawful and within your authority.

6.3 Your Output

As between you and us, and to the extent permitted by law, you own Output generated specifically for you. We assign to you any right, title, and interest we may have in that Output.

This assignment:

  • does not give you rights in our Service, models, systems, trademarks, or pre-existing materials;
  • does not give you rights in third-party content or another user’s output;
  • does not guarantee that Output qualifies for copyright, patent, trade-secret, or other legal protection; and
  • is subject to any third-party or open-source license identified with the Output.

You are responsible for deciding whether and how to use, publish, register, license, or commercialize Output.

6.4 Similar or non-unique Output

Because generative systems may respond similarly to similar requests, Output may not be unique. Other users may receive identical or similar output. Your rights in your Output do not extend to another user’s output, and we do not promise exclusivity.

6.5 License needed to operate the Service

You grant us and our affiliates, contractors, and service providers a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, modify, display, and otherwise process Content only as reasonably necessary to:

  • provide and personalize the Service and carry out your instructions;
  • operate integrations and share Content with recipients you select;
  • maintain, secure, troubleshoot, and support the Service;
  • detect, investigate, and prevent fraud, abuse, safety incidents, and security threats;
  • enforce these Terms;
  • comply with law and valid legal process.

This license does not transfer ownership of your Content to us.

6.6 No training on your Content

We do not use your Content to train or fine-tune our artificial-intelligence models, and we do not permit our model providers to use your Content to train or fine-tune their models. We may process Content only for the operational purposes described in Section 6.5, including providing the Service, following your instructions, maintaining security, preventing abuse, providing support, and complying with law.

6.7 Retention and deletion

We retain Content while needed to provide the Service. When you delete Content or close your account, we will delete the affected Content from our active systems within 30 days, unless we must retain it for a longer period to comply with law, resolve disputes, enforce these Terms, address fraud, abuse, or security incidents, or protect rights and safety. Residual copies may remain temporarily in encrypted backups until those backups are overwritten in the ordinary course.

Please keep independent copies of Content you need. The Service is not a guaranteed archive or backup service unless we expressly say otherwise.

6.8 Sharing and publication

If you share Content publicly or with another person, you are responsible for that sharing and for any required review, permission, attribution, warning, or disclosure. Public links may be accessible to anyone who receives them. Removing a public link does not remove copies already made by others.

7. Artificial-intelligence limitations and Actions

7.1 Output may be wrong

Artificial-intelligence and machine-learning systems are probabilistic and remain imperfect. Output may be inaccurate, incomplete, outdated, misleading, biased, offensive, insecure, or unsuitable even when it appears detailed or confident. Output may misidentify people, places, facts, sources, licenses, or legal requirements and may not reflect our views.

7.2 You must review Output

You must evaluate Output for accuracy, safety, legality, security, appropriateness, and fitness for your intended use. Use qualified human review and independent sources where appropriate. Do not rely on Output as the sole source of truth or as a substitute for professional advice.

For generated code or technical instructions, you should review dependencies and licenses, scan for vulnerabilities, test in a safe environment, use version control, and maintain backups before deployment.

7.3 Professional and safety-critical use

The Service is not a substitute for advice from a qualified medical, legal, financial, accounting, engineering, or other professional. It is not designed as an emergency service or as the sole control for safety-critical systems. Do not rely on the Service where an error or delay could reasonably lead to death, personal injury, significant property damage, unlawful conduct, or denial of an essential service without appropriate independent controls and qualified oversight.

7.4 Decisions about people

You may not use Output or Actions as the sole basis for a decision that has a legal or similarly significant effect on a person, including decisions about credit, employment, education, housing, insurance, healthcare, legal services, access to essential services, or another high-impact domain.

Any use that is permitted by law and these Terms must include appropriate human review, testing, documentation, security, notice, consent, explanation, and an appeal or correction process where required.

7.5 Actions and connected systems

Actions may not operate as intended. They may modify or delete files, execute code, send or disclose information, communicate with third parties, incur charges, or affect connected systems. Before enabling an Action, especially one that can run without step-by-step confirmation, you must:

  • verify the scope of the requested Action and the permissions granted;
  • apply least-privilege access and appropriate spending or usage limits;
  • maintain current backups and a recovery plan;
  • test in a non-production or sandbox environment where appropriate;
  • monitor the Action and resulting changes; and
  • independently confirm important results before relying on them.

You are responsible for Actions you request or authorize, except to the extent a loss is caused by our breach of these Terms or a legal duty. You can revoke an integration or permission through the Service or the relevant third-party provider, subject to technical and legal retention requirements.

8. Third-party services, content, and integrations

The Service may display, retrieve, link to, depend on, or interoperate with third-party websites, models, data, software, plugins, extensions, applications, content, or services (“Third-Party Services”).

Third-Party Services are governed by their own terms and privacy practices. We do not control them and are not responsible for their availability, accuracy, security, legality, or conduct. If you direct the Service to interact with a Third-Party Service, you authorize us to exchange the information reasonably needed to follow your instruction.

Third-party output or content may be included in Output. It may be subject to separate rights, restrictions, or attribution requirements. A reference to a third party does not mean that the third party endorses or is affiliated with us.

If you acquire the Service through an app store, marketplace, reseller, or other distributor, its terms may also apply to billing, cancellation, refunds, and distribution. These Terms are between you and us, not the distributor, except where the distributor’s terms or applicable law state otherwise.

9. Fees, subscriptions, renewals, and taxes

9.1 Subscriptions and optional usage credits

The Service is offered through recurring subscription plans. Each plan includes the amount of usage credits and other allowances shown at checkout and in the Service. Credits included with a subscription are available only during the applicable billing period. Any unused subscription-included credits expire at the end of that billing period, do not roll over, and are replaced by the new credit allowance for the next billing period while the subscription remains active. Usage credits may be denominated by reference to US or Canadian dollars for ease of understanding, but they are closed-loop Service credits and not money.

You may also be able to purchase optional prepaid usage credits for additional eligible usage. Separately purchased credits are governed by Section 9.6 and are distinct from credits included with a subscription. Before purchase, we will show you the applicable price, billing frequency, included allowances, material plan terms, and the amount and cost of any usage credits. You authorize us and our payment processors to charge the payment method you provide for those amounts and applicable taxes.

You must provide complete and accurate billing information and keep your payment method current. Prices are stated in the currency shown at checkout. You are responsible for taxes and government charges associated with your purchase, except taxes based on our net income.

9.2 Automatic renewal

If you purchase a recurring subscription, it begins on the date shown at checkout and automatically renews for successive periods of the same duration, or the duration disclosed at purchase, until you cancel. You authorize recurring charges to your payment method for each renewal period.

We will provide renewal reminders where required by law. The renewal date and current cancellation method will be available in your account or purchase confirmation.

9.3 Cancellation

You may cancel a subscription using the account billing controls or by contacting [email protected]. If you subscribed through an app store or distributor, you generally must cancel through that provider.

To avoid a renewal charge, cancellation must be completed before the renewal date shown in your account; we recommend cancelling at least 24 hours before that date. Unless applicable law or the purchase terms say otherwise, cancellation takes effect at the end of the current paid period and you retain access until then.

9.4 Refunds and cooling-off rights

Payments are non-refundable except where:

  • applicable law requires a refund or cooling-off right;
  • the purchase terms expressly provide one;
  • we discontinue a prepaid Service for reasons unrelated to your breach; or
  • we decide otherwise in our reasonable discretion.

Nothing in this section limits a mandatory right to cancel, withdraw, receive a refund, or obtain another remedy. If you purchased through a distributor, its refund process and terms may apply.

9.5 Limited trials and promotions

We offer a limited free or discounted trial that automatically converts to a paid subscription. The trial’s duration, included features, usage limits, eligibility rules, date and price of the first charge, and billing frequency will be disclosed when you enroll. You authorize us to charge the disclosed subscription price when the trial ends and on each renewal date unless you cancel before the stated trial deadline. We will send any trial-ending or renewal reminder required by law. We may limit trials to one per person, household, payment method, or organization where reasonably necessary to prevent abuse. Promotions may have additional eligibility rules and may be changed or withdrawn as permitted by law.

9.6 Optional usage credits

Optional prepaid usage credits may be used only for eligible usage identified in the Service. Use of credits may require an active account and access to the relevant feature. The Service will show your available credit balance where technically supported.

Prepaid credits expire 12 months after the date of purchase only where applicable law permits that expiration. Where applicable law prohibits or restricts expiration—including where Canadian prepaid-value rules apply—the credits will remain valid for the period required by law or will not expire. Credits are non-transferable, may be used only within the Service, have no cash redemption value, are not legal tender or a bank deposit, and are not redeemable for cash except where required by law. Unused credits are non-refundable except where required by law or expressly stated at purchase.

9.7 Price changes

We may change prices prospectively. For a recurring subscription price increase, we will give at least 30 days’ advance notice, or any longer period required by law. The new price will apply from the next renewal after the notice period. If you do not agree, you may cancel before renewal.

9.8 Failed or disputed payments

If a payment fails or an amount remains due, we may retry the payment, restrict paid features, downgrade the account, or suspend access after any notice required by law. You remain responsible for valid outstanding charges. We will not charge an unlawful late or collection fee.

10. Privacy and data protection

Our Privacy Notice explains what personal data we collect, the purposes and legal bases for processing, how we disclose and retain data, international transfers, security measures, and your privacy rights.

You are responsible for personal data you include in Input and for providing any legally required notice or obtaining any legally required consent. If you process personal data for an organization, a separate data processing agreement may be required.

No method of transmission or storage is completely secure. We use reasonable administrative, technical, and organizational safeguards appropriate to the Service, but cannot guarantee absolute security.

11. Our intellectual property and Feedback

11.1 The Service

We and our licensors own the Service, including its software, models, systems, interfaces, designs, documentation, and branding, together with all related intellectual-property rights. Except for the limited rights granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

You may use our name, logo, and other brand features only with our prior written permission.

11.2 Feedback

You are not required to provide ideas, suggestions, ratings, error reports, or other feedback (“Feedback”). If you do, you grant us a perpetual, worldwide, irrevocable, non-exclusive, sublicensable, transferable, royalty-free right to use, reproduce, modify, publish, and otherwise exploit the Feedback for any lawful purpose without restriction or compensation.

If Feedback includes a conversation or other Content, we may process that material as part of the Feedback for the purposes described in this section. We will not use it to train or fine-tune artificial-intelligence models.

12. Content moderation and reporting

12.1 Moderation and enforcement

We are not required to host or distribute Content. We may use automated systems and human review to detect, investigate, restrict, label, remove, or report Content that we reasonably believe:

  • violates these Terms or law;
  • infringes another person’s rights;
  • threatens safety, security, or the integrity of the Service; or
  • may expose users, us, or third parties to harm or liability.

We may preserve and disclose information where reasonably necessary to comply with law, enforce these Terms, protect rights or safety, or respond to valid legal process, as described in the Privacy Notice.

12.2 Reporting unlawful or harmful Content

You may report suspected unlawful, infringing, or policy-violating Content to [email protected]. Where required by law, we will provide information about our decision and an available appeal process.

13. Availability, changes, and discontinuation

13.1 Service availability

The Service may occasionally be unavailable because of maintenance, capacity limits, failures, third-party dependencies, security incidents, legal requirements, or events outside our reasonable control. We will use commercially reasonable efforts to operate the Service reliably, but do not guarantee uninterrupted, error-free, or secure access.

13.2 Changes to the Service

We may add, change, limit, or remove features, models, integrations, storage, capacity, or other parts of the Service. Where a change materially reduces a paid feature during a current paid period, we will provide reasonable notice or an appropriate remedy where required by law.

13.3 Discontinuation

We may discontinue all or part of the Service. Where reasonably practicable, we will provide advance notice and a reasonable opportunity to export supported Content. If we discontinue a prepaid Service for reasons unrelated to your breach, we will provide a pro-rata refund or credit for the unused prepaid period, unless applicable law requires a different remedy.

13.4 Backups and exports

You should keep independent backups of important Content. Any export function may be subject to technical limits, supported formats, verification, retention periods, and legal restrictions.

14. Suspension, termination, and account closure

14.1 You may stop using the Service

You may stop using the Service and close your account at any time. Closing an account does not automatically cancel a subscription purchased through an app store or distributor; you must follow its cancellation process.

14.2 Suspension or termination by us

We may restrict, suspend, or terminate access to some or all of the Service if we reasonably believe:

  • you materially or repeatedly breached these Terms or supplemental terms;
  • your use creates a material risk of harm, fraud, abuse, security compromise, legal liability, or disruption;
  • we must act to comply with law, a court order, or a valid government request;
  • payment remains overdue after any required notice;
  • the account was obtained or used fraudulently; or
  • suspension is reasonably necessary while we investigate a suspected violation or security incident.

Where appropriate, we will give notice and a reasonable opportunity to cure. We may act without prior notice in urgent cases, including active abuse, security threats, risk to a person, or legal requirements.

We may close a free account that has been inactive for more than 12 months after giving reasonable advance notice.

14.3 Appeals

If you believe a restriction, suspension, or termination was made in error, you may appeal by contacting [email protected]. We will review the appeal in a reasonable manner and provide any explanation or remedy required by law.

14.4 Effect of termination

When these Terms or your account end:

  • your right to use the Service ends;
  • unpaid amounts that were validly incurred remain due;
  • we may delete or de-identify Content according to the Privacy Notice, subject to applicable law and any export period we provide; and
  • provisions that by their nature should survive will remain in effect, including provisions about ownership, fees owed, disclaimers, limitations of liability, indemnity, disputes, and general terms.

If we terminate a paid subscription for your material breach, you are not entitled to a refund except where required by law. If we terminate it for convenience or discontinue it for reasons unrelated to your breach, we will provide a pro-rata refund or credit for the unused prepaid period.

15. Disclaimers

The Service, Content, Actions, and Beta Features are provided “as is” and “as available.” To the fullest extent permitted by law, we and our affiliates, licensors, and service providers disclaim all express, implied, statutory, and other warranties, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, non-infringement, accuracy, availability, reliability, security, compatibility, and any warranty arising from a course of dealing or trade usage.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components; that defects will be corrected; that Content will be accurate, complete, unique, or preserved; or that Actions will operate as intended. You use Output and Actions at your own risk and must apply the review and safeguards described in Section 7.

These disclaimers do not apply to warranties or rights that cannot lawfully be excluded.

16. Limitation of liability

16.1 Excluded losses

To the fullest extent permitted by law, neither we nor our affiliates, licensors, service providers, officers, directors, employees, or agents will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, use, or data, arising out of or relating to the Service or these Terms, even if advised that such loss was possible.

16.2 Liability cap

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of: (a) the amount you paid us for the Service giving rise to the claim during the 12 months before the event giving rise to liability; or (b) US$100.

16.3 Liabilities that are not limited

Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited. Depending on applicable law, this may include liability for fraud or fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of mandatory consumer rights, or infringement that the law does not permit us to exclude.

If your jurisdiction does not permit a particular exclusion or limitation, it applies only to the maximum extent permitted there.

17. Indemnity for organizational use

If you use the Service on behalf of a business or organization, then, to the extent permitted by law, that business or organization will defend, indemnify, and hold harmless us, our affiliates, and our personnel from third-party claims, losses, liabilities, damages, judgments, and reasonable legal fees arising from:

  • its unlawful or unauthorized use of the Service;
  • its Content or Actions;
  • its material breach of these Terms; or
  • its infringement or violation of a third party’s rights.

We will provide reasonable notice of a claim and allow the indemnifying organization to control the defence and settlement, provided it may not admit fault on our behalf or impose an obligation on us without our written consent. We may participate with counsel of our choice at our own expense.

This section does not impose an indemnity on an individual consumer where doing so is prohibited or unfair under applicable law.

18. Changes to these Terms

We may update these Terms to reflect changes to the Service, law, regulation, security needs, industry practice, or our business.

For a material change, we will provide reasonable advance notice through the Service, by email, or by another appropriate method. Unless an urgent legal, safety, or security reason requires an earlier date, a material change will take effect no sooner than 30 days after notice. Changes will not retroactively reduce rights or increase liability for events that occurred before they took effect, unless law permits and the notice clearly says so.

If you do not agree to updated Terms, you must stop using the Service and cancel any subscription before the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms, to the extent permitted by law.

The date at the top shows when these Terms were last updated. Price changes are also governed by Section 9.7.

19. Governing law and disputes

19.1 Informal resolution

Before starting formal proceedings, you and we agree to try in good faith to resolve a dispute informally for at least 30 days. Please send a written notice to [email protected] and the business mailing address listed in Section 21. The notice must include your name and account email, a description of the dispute, the relief requested, and relevant supporting information. We will send our notice to the contact details associated with your account.

This requirement does not prevent either party from seeking urgent injunctive relief, making a valid intellectual-property complaint, reporting a matter to a regulator, or bringing an eligible claim in small-claims court. A limitation period is suspended during the informal-resolution period where applicable law permits.

19.2 Governing law

These Terms and any non-contractual obligations arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

Mandatory consumer-protection law in your country or state of residence continues to apply where it cannot lawfully be displaced.

19.3 Courts

Subject to mandatory consumer rights, the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service. If applicable law allows you to bring a consumer claim in the courts where you live, you may do so.

These Terms do not prevent you from contacting or filing a complaint with a competent consumer-protection, data-protection, competition, or other regulator.

20. General terms

20.1 Entire agreement

These Terms and the documents expressly incorporated by reference form the entire agreement between you and us about the consumer Service and replace prior or contemporaneous agreements on that subject. They do not replace a separate signed agreement that expressly governs your use.

20.2 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service, provided the assignment does not reduce mandatory consumer rights. We will give notice where required by law.

20.3 Severability

If a court or other competent body finds a provision unenforceable, that provision will be enforced to the maximum lawful extent or modified as little as necessary, and the remaining provisions will continue in effect.

20.4 No waiver

A delay or failure to enforce a provision is not a waiver. A waiver is effective only if in writing and applies only to the specific instance for which it is given.

20.5 No agency or employment

These Terms do not create a partnership, joint venture, agency, fiduciary, employment, or franchise relationship between you and us.

20.6 Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, civil unrest, labour disputes, internet or utility failures, government action, epidemics, or widespread failures of third-party infrastructure. This section does not excuse your obligation to pay charges already incurred and does not limit mandatory consumer remedies.

20.7 Export controls and sanctions

You must comply with applicable trade, export-control, and sanctions laws. You may not access, export, re-export, transfer, or use the Service in a prohibited country, for a prohibited end use, or for the benefit of a prohibited person or entity.

20.8 Third-party beneficiaries

Except where these Terms expressly state otherwise, there are no third-party beneficiaries. Our affiliates, licensors, and service providers are intended beneficiaries of Sections 15 and 16 to the extent permitted by law.

20.9 Headings and interpretation

Headings are for convenience only. Words such as “including” mean “including without limitation.” A reference to writing includes permitted electronic communications. These Terms will not be interpreted against a party merely because that party drafted them.

20.10 Language

If these Terms are translated, the English-language version controls to the extent permitted by law. Mandatory local-language requirements and consumer rights remain unaffected.
